Global private equity investor Advent International has entered into an agreement to invest ₹3,150 crore in Yatharth Hospital & Trauma Care Services Ltd, acquiring a 24.9% minority stake in the listed hospital chain.
The transaction, subject to customary closing conditions, represents one of the larger primary private equity investments in India's hospital sector.
The investment comes as Yatharth Hospitals continues to expand its hospital network across North India through a combination of organic growth and acquisitions.
₹3,150 Crore Primary Capital Infusion
Under the definitive agreement, Advent will invest ₹3,150 crore of primary capital in Yatharth Hospitals. Following completion, Advent is expected to hold a 24.9% stake, while the promoter Tyagi family will remain the company's largest shareholder.
The transaction involves the issue of new equity shares and warrants to Advent's investment vehicle. Yatharth's board has also approved proposals related to increasing the company's authorised share capital, with shareholder approval required for the relevant corporate actions.
Yatharth Targets 3,250-Bed Capacity
Founded in 2008, Yatharth Hospitals currently operates nine multi-speciality hospitals with approximately 2,800 beds. Its announced overall capacity stands at around 3,250 beds as the group continues to expand its footprint.
The hospital network has a presence across the National Capital Region, including Noida, Greater Noida, Noida Extension, Greater Faridabad, New Delhi and Gurugram, along with Jhansi-Orchha in Madhya Pradesh and a growing presence in Agra.
The new capital is expected to support Yatharth's continued expansion and strengthening of its healthcare platform.
Advent Expands Its Healthcare Portfolio in India
The Yatharth investment adds another major hospital platform to Advent International's healthcare portfolio in India.
Advent has previously invested in healthcare businesses including Apollo 24/7, Cohance, Felix Pharma, Bharat Serums and Vaccines and Care Hospitals. Globally, the firm says it has made more than 55 healthcare investments across 17 countries over more than three decades.
As India's organised hospital sector attracts increasing institutional capital, transactions such as the Yatharth deal highlight the continuing interest of global private equity investors in hospital infrastructure, healthcare delivery and consolidation.
Tyagi Family to Remain Largest Shareholder
Despite the proposed investment, the Tyagi family will remain Yatharth Hospitals' largest shareholder and continue to guide the company's long-term direction.
Yatharth Whole-time Director Yatharth Tyagi said the investment would bring not only capital but also Advent's healthcare expertise and global experience, which the company expects to use to accelerate its next phase of growth.
Advent Managing Director Pankaj Patwari said the investment reflects the firm's continued focus on India's healthcare sector, citing expanding access, improving quality and increasing consolidation as structural themes in the market.
What the Deal Means for India's Hospital Sector
The transaction adds to a broader pattern of institutional investment in India's organised healthcare sector.
For hospital operators, private equity capital can provide funding for new facilities, capacity expansion, acquisitions and technology-led infrastructure upgrades. For investors, established hospital networks offer exposure to a sector characterised by increasing demand for organised and specialised healthcare services.
Yatharth's transaction therefore combines capital infusion, hospital capacity expansion and strategic partnership, while leaving the founding promoter family as the largest shareholder.
